Dealer Application Terms and Conditions:
This Agreement is made and entered into by and between Panamorph, Inc. (“Panamorph”), a Colorado corporation having a place of business at 1755 Telstar Dr, Suite 103, Colorado Springs, CO, and the following Dealer as represented in the registration form.
WHEREAS the parties wish to enter a relationship wherein Dealer is authorized to sell and represent Panamorph products, THEREFORE, Dealer, as submitted and electronically signed by competent authority of Dealer, agrees as follows:
1. Dealer shall positively and actively promote and act in the best interests of Panamorph, the Panamorph brand and Panamorph products for both new and previously installed home cinema projection systems.
2. Dealer shall not sell Panamorph products over the internet, including, but not limited to, the use of online shopping carts, the listing of prices (other than MSRP), or any type of solicitation such as “Call for price” or language similar thereto.
3. Dealer shall not solicit sales shipping to an address outside their local region that may interfere or reasonably appear to interfere with operations of another Panamorph dealer.
4. Dealer understands that Panamorph may sell through alternate channels such as projector manufacturers or even direct in certain circumstances such as obsolete products.
5. Dealer agrees to pay all invoices in accordance with their terms and that any expenses and fees associated with late payment shall be paid by Dealer.
6. Dealer or Panamorph may terminate this Agreement at any time in writing to the other party. However, any Dealer obligations to Panamorph shall survive termination as if this Agreement remains in effect.
7. All Purchase Orders from Dealer are considered non-cancelable and all sales to Dealer are considered final.
Upon completion, please download the credit card application from this link, complete it and fax it to Panamorph at 866-593-8798 along with a copy of your sales tax license. Alternately, you can scan the completed credit card application and sales tax license and email them to sales@panamorph.com. You will receive notification via email of acceptance or rejection of your dealer application.
